Assistance and representation of a director of a law firm subject to an audit

Issue

The director of a law firm was subject to an in-depth audit. This administrative procedure, governed by rules specific to the liberal professions, aimed to verify compliance with management practices and reporting obligations. This tax audit involved an exhaustive examination of supporting documents and the firm’s accounts, as well as a detailed analysis of cash flows. Faced with the rigour of the auditors and the risk of reclassification that could undermine the firm’s structure, the atmosphere quickly became tense, threatening the firm’s stability and balance.

Challenges

For the director, the authorities’ intervention posed direct risks to the company’s governance and to his personal liability. Beyond the potentially severe financial consequences, a tax reassessment could have permanently tarnished the reputation of a firm specialising in legal advice, where compliance is an absolute prerequisite for credibility. Managing tax risks and protecting the client’s interests therefore required legal assistance capable of anticipating the auditors’ observations and defending the consistency of the management decisions taken.

Solution

Our firm provided comprehensive representation for the director, acting as the sole point of contact to ensure secure communications and defuse tensions. Our strategy involved methodically organising all the accounting evidence to demonstrate the correctness of the entries, whilst responding point by point to the tax authorities’ requests for clarification. This rigorous approach, based on precise legal reasoning and a thorough understanding of the applicable tax rules, enabled us to resolve every ambiguity and ensure the smooth conduct of communications with the tax authorities.

At the conclusion of the audit, the tax authorities concluded that no adjustments were required, thereby officially validating the director’s integrity and the effectiveness of the support provided.
